1. ACCOUNTS

You are responsible for safeguarding your account and for activities under it. Notify us immediately of any unauthorized use.

2. USER CONTENT AND RESPONSIBILITIES

You retain ownership of all data and information you upload or connect to the Services ("User Content"). You represent that you have all necessary rights to use and authorize us to use your User Content as described in these Terms.

3. OWNERSHIP OF OUTPUT

You retain ownership of outputs you generate from your User Content. We retain all rights in the Services, our models, and our patent-pending technologies.

4. SUBSCRIPTIONS AND PAYMENT

Subscription Services are billed in advance on a recurring basis. We reserve the right to suspend or terminate access for non-payment.

5. SERVICE CAPABILITIES AND LIMITATIONS

Kitana is a Search SDK, Not an Advisor: The Services retrieve information from your User Content and do not provide professional advice or replace human judgment.

Accuracy Depends on Your Data: Quality of results depends on the completeness and accuracy of your source content and the clarity of your queries.

Technical Limitations: The Services can only access content you explicitly connect.

6. ACCEPTABLE USE POLICY

You agree not to use the Services to:

• Upload unlawful, harassing, abusive, fraudulent, or obscene content.
• Infringe on third-party intellectual property rights.
• Upload viruses, worms, or harmful code.
• Attempt unauthorized access to the Services or other accounts.
• Reverse-engineer, decompile, or attempt to discover the source code or underlying methods of the Services.
• Use automated systems to scrape or copy material from the Services.

7. INTELLECTUAL PROPERTY

The Services and their original content, features, and functionality are the exclusive property of Morphos AI. Our patent-pending technology is a core component and is protected by intellectual property laws.

8. SERVICE AVAILABILITY

The Services are provided "as is" and "as available." We do not guarantee uninterrupted availability.

9. DISCLAIMER OF WARRANTIES & LIMITATION OF LIABILITY

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

KITANA IS NOT A SUBSTITUTE FOR PROFESSIONAL ADVICE. YOU ARE SOLELY RESPONSIBLE FOR ANY DECISIONS YOU TAKE BASED ON THE INFORMATION PROVIDED BY THE SERVICES.

IN NO EVENT SHALL MORPHOS AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY IS LIMITED TO THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

10. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Morphos AI from any claims arising out of your use of the Services or breach of these Terms.

11. GOVERNING LAW

These Terms shall be governed by the laws of the State of Arizona, United States.

12. CHANGES

We reserve the right to modify these Terms at any time and will provide at least 30 days' notice of material changes.
